Welcome to Resturoo.com, a service provided by Resturoo  ("we," "us," or "our"). These Terms of Service ("Terms") govern your use of the  Resturoo.com Point-of-Sale (POS) software, website, and related services (collectively, the "Service").

By creating an account, accessing, or using any part of the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Service.


2. Eligibility and Account Management
  • 2.1 Eligibility: You must be at least 18 years of age and legally capable of entering into a binding contract to use the Service.
  • 2.2 Account Security: You are solely responsible for maintaining the confidentiality of your account credentials (username, passwords, API keys) and for all activities that occur under your account.
  • 2.3 Accurate Information: You agree to provide accurate, current, and complete information during registration.

3. Service License and Restrictions
  • 3.1 Limited License: We grant you a limited, non-exclusive, non-transferable license to access and use the Service solely for your internal business operations.
  • 3.2 Restrictions: You agree not to, and will not permit others to:

    • Use the Service to store, transmit, or process any unlawful material.
    • Attempt to gain unauthorized access to the Service.
    • Reverse engineer or disassemble any portion of the Service.

4. Fees, Billing, and Payment
  • 4.1 Subscription Fees: You agree to pay the fees applicable to your Service plan as set forth on our website or invoice.
  • 4.2 Automatic Renewal: Subscriptions automatically renew for the same period unless you cancel before the renewal date.
  • 4.3 Refunds: Fees are generally **non-refundable**.
  • 4.4 Taxes: You are responsible for all applicable taxes, duties, and levies associated with your subscription.

5. Your Data Ownership and Responsibilities
  • 5.1 Data Ownership: You retain all ownership rights to the data, transactions, and customer information that you upload or input into the Service ("Your Data").
  • 5.2 Data License: You grant us a worldwide, non-exclusive license to use and process Your Data solely for the purpose of providing, maintaining, and improving the Service.
  • 5.3 Responsibility for Data: You are solely responsible for the legality, accuracy, and quality of Your Data.

6. Intellectual Property
  • 6.1 Our IP: The Service, including its design, code, proprietary software, and branding, are and will remain the exclusive property of  Resturoo.com.
  • 6.2 Feedback: Any feedback, suggestions, or ideas you provide grants us a royalty-free, perpetual, irrevocable license to use, reproduce, and incorporate that Feedback for any purpose.

7. Warranties and Disclaimers
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
We expressly disclaim all warranties, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.

8. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL RESTUROO BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, DATA, OR OTHER INTANGIBLE LOSSES.
Our total liability to you for all damages shall not exceed the amount paid by you to us in the **six (6) months** preceding the event giving rise to the claim.

9. Indemnification
You agree to defend, indemnify, and hold harmless  Resturoo and its affiliates from and against any claims, liabilities, or expenses (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service.


10. Termination
We may terminate or suspend your account access immediately for any reason, including but not limited to a breach of these Terms, non-payment of fees, or if your actions are harmful to our Service or other users. You may terminate your subscription at any time via your account settings (no refund for prepaid amounts).


11. Governing Law and Dispute Resolution
  • 11.1 Governing Law: These Terms shall be governed and construed in accordance with the laws of **Sri Lanka**.
  • 11.2 Dispute Resolution: Any dispute shall be submitted to confidential **binding arbitration** in **Colombo, Sri Lanka**.

12. Miscellaneous
These Terms, together with the Privacy Policy, constitute the entire agreement between you and us concerning the Service. Any invalid provision will be limited to the minimum extent necessary, and the remaining provisions will remain in full force.
